1. Agreement to Terms

By accessing or using the services provided by OrderBOT ("we," "us," or "our"), including the website located at dev.orderbot.in, and our WhatsApp-based conversational e-commerce application systems, you agree to be bound by these Terms of Service. If you do not agree to all of these terms, do not access or use our services.

2. Services Description

OrderBOT provides an AI-powered conversational platform integrated with the official WhatsApp Business Cloud API. Our services allow merchants to automate customer communication, present catalogs, handle cart bookings, coordinate scheduling, and process invoice links inside WhatsApp. We facilitate communication and transactions but are not a party to any contract or purchase agreement made directly between merchants and their respective end customers.

3. Compliance with WhatsApp Policies

Merchants using OrderBOT must fully comply with Meta's official WhatsApp Business Terms, WhatsApp Commerce Policies, and WhatsApp Business Account Guidelines. You agree that:

• You will not use the service to send unsolicited messages, spam, or marketing materials to users who have not explicitly opted in.
• You will not sell prohibited goods or services (such as tobacco, weapons, adult products, or unlicensed drugs) as defined by Meta's Commerce Policy.
• OrderBOT is not liable for account suspensions, number blocks, or access restrictions imposed by Meta due to policy violations.

4. Account Registration & Security

To use our merchant console, you must register for an account, provide accurate billing and contact information, and link your official Meta WhatsApp Business account. You are solely responsible for maintaining the confidentiality of your account credentials and console keys. You agree to notify us immediately of any unauthorized use of your account.

5. Billing, Subscriptions & Fees

Some of our services are billed on a subscription basis (monthly or annually) along with usage fees based on conversational volume or completed checkouts. All fees are exclusive of applicable Indian taxes (GST) unless specified otherwise. We reserve the right to modify pricing structures upon 30 days' notice. Payment failures may result in immediate suspension of API endpoints and conversational processing.

6. Limitation of Liability

To the maximum extent permitted by applicable law, OrderBOT and its developers shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use of or inability to use the service, including but not limited to lost sales, server downtime, message transmission delays, API modifications by Meta, or payment gateway failures.

7. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India. You agree that any legal action or proceeding arising out of these terms shall be brought exclusively in the courts located in Bangalore, Karnataka, India.
